Please read these Terms carefully before engaging with our services.
By accessing or utilizing any part of our services—whether through our website, direct communication, or by entering into a formal project agreement—you acknowledge that you have read, understood, and agree to be legally bound by these Terms. These Terms form a binding agreement between Hothico Architects and any individual or entity (“you” or “the client”) seeking or receiving our services.
Our firm is committed to delivering innovative, sustainable, and functional architectural solutions tailored to meet the unique needs of each client. These Terms of Service are intended to ensure transparency, establish clear expectations, and protect the interests of both parties throughout the course of a project.
Please note that Hothico Architects does not offer user registration or login access on our website. All client interactions, consultations, and agreements are managed directly through our communications and formal project documentation.

Services Provided

Scope of Work
The Scope of Work defines the range of services Hothico Architects will provide for a client project. It outlines the deliverables, responsibilities, and expectations associated with each phase of the project. This ensures both clarity and alignment between Hothico Architects and the client from the outset.
Project-Specific Scope
Each project is unique. The scope of work is determined based on the type, size, location, and specific requirements of the project. The final scope is confirmed through a written agreement before the commencement of services.
Pre-Design Phase
Hothico Architects will engage with the client to understand the vision, needs, and constraints of the project. This phase typically includes site visits, feasibility analysis, zoning research, and the development of early conceptual ideas. Budget and timeline expectations are also discussed and aligned.
Schematic Design Phase
Based on client input and site conditions, conceptual layouts and initial design proposals are created. These may include basic floor plans, elevations, 3D visualizations, and mood boards. Client feedback is gathered and incorporated into refined schematic presentations.
Design Development Phase
With the client-approved schematic design, detailed design work begins. This includes the development of building sections, exterior elevations, material selections, and coordination with consultants such as structural and MEP engineers. A more detailed cost estimate is also prepared.
Construction Documentation Phase
Comprehensive construction drawings and technical documentation are prepared. These include detailed plans, elevations, sections, specifications, and schedules necessary for construction. These documents are also used for contractor bidding and municipal approvals.
Municipal Approval & Permitting Phase
Hothico Architects assists in preparing and submitting all necessary drawings and documentation for municipal approvals. This includes coordination with town planning authorities, responding to feedback or objections, and ensuring all local building code requirements are met.
Construction & Execution Phase
Hothico Architects offers periodic site visits to review construction quality and ensure alignment with the design. The team provides clarifications, reviews material samples, and coordinates with contractors as needed. This service is typically included in turnkey contracts or as an add-on.
Interior Design & Styling Phase (if applicable)
For projects including interiors, Hothico Architects provides complete interior design solutions. This includes space planning, color schemes, lighting design, material and furniture selection, as well as theme-based styling. Custom furniture designs and décor elements may also be provided.
Project Closeout & Handover
Upon project completion, the site is inspected, and a final walkthrough is conducted with the client. Any remaining tasks are addressed, and the project is formally closed. Clients receive as-built drawings and relevant documentation at this stage.
Limitations and Exclusions
Unless specifically included in the agreement, the following services are not part of the standard scope:
Legal services or land acquisition support
Structural and MEP engineering (provided by third-party consultants)
Government taxes, approval fees, or statutory charges
Daily site supervision or project management (unless specified in contract)
Interior execution or furnishing procurement (unless included)
Changes to Scope
If the client requests additional services or changes to the original design after work has begun, a revised scope and additional fees may apply. All such changes will be documented and approved by both parties.
This Scope of Work ensures a structured, transparent, and collaborative process that allows Hothico Architects to deliver high-quality, functional, and inspiring architectural solutions that meet client expectations.
Client Responsibilities
To ensure the successful planning, design, and execution of a project, the client’s active participation and timely cooperation are essential. The responsibilities outlined below help establish a smooth working relationship and enable Hothico Architects to deliver services efficiently and effectively.
Clear Communication of Requirements
Clients are expected to clearly communicate their project goals, vision, expectations, preferences, and budget constraints during the initial consultation and throughout the course of the project. This includes the intended use of space, desired aesthetics, functional needs, and any specific design inspirations or site constraints.
Provision of Accurate Information
The client must provide all necessary and accurate information required for the project. This includes land or property ownership documents, survey plans, site measurements, existing building drawings (if applicable), and any relevant historical or legal information. Delays in receiving accurate documentation may impact project timelines.
Timely Approvals and Decisions
To maintain workflow and adhere to the project schedule, clients are expected to review and approve design concepts, material selections, and construction documentation in a timely manner. Delays in feedback or indecisiveness may lead to rescheduling or additional costs.
Access to Site
The client must ensure that Hothico Architects and any assigned consultants or contractors have appropriate access to the project site for surveys, inspections, site supervision, or construction activities as required. Access should be safe, secure, and coordinated in advance when necessary.
Third-Party Coordination
Where services from external consultants or vendors (e.g., structural engineers, MEP consultants, contractors) are involved, the client is responsible for ensuring smooth communication between all parties. While Hothico Architects may assist in coordination, the client remains ultimately responsible for managing third-party contracts not engaged by Hothico Architects.
Financial Responsibilities
Clients are expected to honor the payment schedule agreed upon in the project contract. This includes timely payment for architectural services, as well as any additional costs related to materials, government approvals, consultants, or contractors. Non-payment or delayed payments may result in suspension of services.
Municipal and Regulatory Cooperation
Clients are responsible for paying any government fees, charges, or taxes required for municipal approvals, permits, or legal clearances. Hothico Architects may assist in documentation and submission processes, but it is the client’s duty to cooperate with authorities when needed, including signing forms or attending hearings.
Change Requests and Modifications
If the client wishes to modify the scope, design, or other project elements after the work has commenced, such requests must be submitted in writing. Any resulting changes to cost or schedule must be acknowledged and agreed upon by both parties through a revised agreement or formal communication.
Site Safety and Conduct
For projects under construction or renovation, the client must ensure that safety standards are followed on-site, especially if other vendors or laborers are involved. The client should also ensure that no unauthorized modifications are made to the design or structure without notifying Hothico Architects.
Confidentiality and Professional Conduct
Clients are expected to treat all communications, drawings, and documentation received from Hothico Architects as confidential unless otherwise agreed. Additionally, clients are encouraged to maintain a professional and respectful relationship with the design team and collaborators throughout the engagement.
By fulfilling these responsibilities, the client contributes significantly to the success and quality of the project. Hothico Architects values transparent, collaborative, and respectful partnerships with all clients to achieve exceptional design outcomes.
Payment Terms
Hothico Architects operates on a transparent and milestone-based payment structure designed to reflect the progress and delivery of professional architectural services. These terms are established to ensure mutual trust, maintain workflow continuity, and uphold financial clarity throughout the course of the project.
All fees, payment stages, and due dates will be explicitly outlined in the official project proposal or agreement shared with the client prior to the commencement of work. By engaging our services, the client agrees to adhere to the following payment guidelines.
The total project fee is typically divided into installments based on key project milestones. These stages may include, but are not limited to, initial consultation and concept development, schematic design, design finalization, preparation of construction documentation, submission for municipal approvals, and project supervision or execution support. For interior design and turnkey projects, additional milestones such as material finalization or execution handover may also be considered.
An initial advance payment is required to begin any design work. This advance is non-refundable and confirms the client’s commitment to the project. The amount of the advance will be specified in the agreement and adjusted against the total project fee.
Subsequent payments are due upon completion of each milestone as outlined in the payment schedule. Clients are expected to release payments promptly upon receipt of an invoice or completion notification. Delays in payment may lead to temporary suspension of services or delay in subsequent project phases. Hothico Architects reserves the right to halt work if payments are not made within the agreed time frame.
All payments must be made via approved payment methods mentioned in the proposal or invoice. These may include bank transfers, UPI, cheques, or digital payments. Any bank charges or transaction fees incurred during international or third-party payments are to be borne by the client.
If the client requests a change in scope, additional services, or any modification that affects the agreed deliverables or timelines, the financial implications will be communicated in writing. These changes may require revised payment terms or additional invoices, which the client must approve prior to implementation.
Taxes such as GST or any other applicable government levies will be added to the invoice and are to be borne by the client. The total fee quoted in the agreement is exclusive of taxes unless otherwise specified.
In the case of project delays caused by the client, including delays in approvals, feedback, or provision of information, the payment schedule will still proceed as per the agreed milestones, unless otherwise negotiated and documented.
Hothico Architects does not offer refunds for services already rendered, design stages already completed, or advance payments after initiation of work. Any termination of the agreement must follow the termination clause included in the project contract, and payment will be due for all work completed up to the termination date.
Clients are encouraged to discuss any concerns or special requests related to payments before the project begins. Hothico Architects remains open to flexible arrangements where appropriate, provided they are formally documented and agreed upon by both parties.
These payment terms are an essential part of our commitment to professionalism, financial discipline, and the successful delivery of architectural services.
Intellectual Property
All creative work produced by Hothico Architects, including but not limited to designs, drawings, plans, 3D models, renderings, concept sketches, presentation material, written documentation, and any associated digital or physical content, is considered intellectual property and is protected under applicable copyright and intellectual property laws.
Hothico Architects retains full ownership of all original design content created during the course of the project, unless otherwise agreed upon in writing. This includes any concepts, ideas, methodologies, and design solutions developed specifically for the client’s project.
The client is granted a non-exclusive, non-transferable license to use the final deliverables solely for the purposes outlined in the agreed project scope. This includes the right to use the architectural drawings and design documentation for construction, municipal submissions, and related implementation, but does not extend to commercial reproduction, resale, or reuse on other projects without the prior written consent of Hothico Architects.
Preliminary concepts, draft proposals, and unused design options presented during the design phase remain the sole property of Hothico Architects and may not be used, distributed, shared, or built upon by the client, contractors, or any third party without explicit authorization.
In cases where the client terminates the project before completion or decides not to proceed with a particular design, all associated intellectual property created up to that point remains the exclusive property of Hothico Architects. The client does not acquire rights to use or replicate any unapproved or unfinalized design material.
Any use or modification of the architectural work without the involvement or supervision of Hothico Architects, or without prior consent, is strictly prohibited and may result in legal action. This includes reproducing, adapting, distributing, or sharing the design with third parties, consultants, or contractors beyond the scope of the original agreement.
Hothico Architects reserves the right to showcase completed or ongoing projects in its portfolio, on its website, in print and digital publications, in promotional material, and across social media platforms for the purpose of professional representation, marketing, and awards submissions. If the client requires any portion of the project to remain confidential, this must be communicated in writing and mutually agreed upon at the start of the engagement.
Any third-party materials, including consultant drawings, vendor catalogues, or manufacturer-provided specifications that are used in the project remain the intellectual property of their respective owners. Hothico Architects makes no claim to such materials and uses them solely for coordination and reference purposes.
These intellectual property terms are intended to protect the integrity and originality of Hothico Architects’ creative work while granting clients the necessary rights to execute and use the designs as intended. Any exceptions to this policy must be documented through a written amendment signed by both parties.
Confidentiality
Hothico Architects is committed to maintaining the highest standards of confidentiality and professional integrity in all client relationships. We understand that projects may involve sensitive information, including personal data, business plans, financial details, property documents, design preferences, and other proprietary or confidential content.
All information shared by the client, whether verbal, written, visual, or electronic, shall be treated as confidential and will not be disclosed to any third party without the client’s prior written consent. This includes any materials, discussions, or data provided during consultations, design development, project execution, or post-completion reviews.
Confidential information may include, but is not limited to, property ownership documents, architectural and structural details, budgets, cost estimates, vendor information, contract terms, or any correspondence intended to remain private between the client and Hothico Architects.
Hothico Architects shall take all reasonable steps to protect confidential client information from unauthorized access, use, or disclosure. This includes restricting access to internal team members and collaborators on a need-to-know basis and ensuring that all third-party consultants involved in the project are contractually bound by similar confidentiality obligations.
Similarly, the client agrees to maintain confidentiality regarding proprietary processes, design concepts, fee structures, and internal documentation provided by Hothico Architects. This includes protecting the originality of design ideas and not disclosing or distributing such materials to competitors, vendors, or any third parties without explicit permission.
Any information already in the public domain or that becomes publicly available through no fault of either party is not considered confidential under this agreement. Additionally, Hothico Architects may be legally required to disclose certain information in compliance with local laws, court orders, or regulatory requirements. In such cases, the client will be informed of the disclosure where permitted by law.
Both parties agree to maintain confidentiality during and after the conclusion of the project. These confidentiality obligations shall survive the termination or completion of the agreement and remain in effect indefinitely unless otherwise specified in writing.
If either party breaches this confidentiality agreement, the affected party reserves the right to pursue legal remedies, including but not limited to injunctive relief, damages, and legal fees, as applicable under the prevailing laws.
Hothico Architects values discretion, professionalism, and the trust placed in us by our clients. We view confidentiality not merely as a legal obligation, but as a core principle of our practice and client service.
Project Delays
Hothico Architects is committed to maintaining project timelines and delivering services in accordance with agreed schedules. However, architectural and construction projects are subject to a range of variables that can impact timelines. This section outlines how project delays are addressed and managed.
Client-Caused Delays
Delays arising due to the client’s actions or inactions may include, but are not limited to:
Failure to provide timely approvals, decisions, or feedback.
Delay in providing required documentation, site access, or other inputs.
Late payments or breach of agreed financial terms.
Requests for significant changes in the scope of work or design direction after work has commenced.
In such cases, Hothico Architects reserves the right to extend the project schedule accordingly. Additional charges may apply for rescheduling, reworking deliverables, or compensating for lost productivity.
Third-Party or Contractor-Related Delays
Hothico Architects is not responsible for delays caused by contractors, vendors, consultants, or any third parties not directly under our management or contractual control. This includes:
Construction or execution delays by building contractors.
Shortage or delay in delivery of materials.
Delays in obtaining approvals or clearances from government authorities or municipal bodies (unless explicitly part of our scope).
In instances where project management or supervision services are included, we will take reasonable steps to coordinate and minimize such delays but shall not be held liable for the performance of third parties.
Force Majeure and Unforeseen Events
Delays resulting from circumstances beyond the control of either party, including but not limited to acts of God, natural disasters, pandemics, labor strikes, government lockdowns, war, civil unrest, or supply chain disruptions, will be considered force majeure events.
In such cases:
The affected party must notify the other party in writing as soon as reasonably possible.
Both parties will work collaboratively to assess the impact and adjust the project schedule without penalty.
Hothico Architects will not be held liable for losses, costs, or damages arising from such delays.
Design and Coordination Delays
If project delays arise from extended coordination with multiple stakeholders (e.g., structural engineers, MEP consultants, clients’ internal teams, etc.), timeline adjustments will be made to accommodate the additional coordination time. Clients are encouraged to facilitate swift responses and consolidated feedback to avoid unnecessary back-and-forth or design revisions.
Timeline Revisions and Communication
Project schedules are reviewed periodically throughout the lifecycle of the engagement. Any potential delay, whether foreseen or unexpected, will be promptly communicated to the client along with revised milestone dates. Both parties are expected to acknowledge and confirm the updated timelines in writing.
Consequences of Delay
In the case of excessive delays not attributable to force majeure or third parties, and where clear responsibility lies with one of the parties:
The affected party may request an amendment to the agreement.
Hothico Architects reserves the right to pause the project, revise pricing, or terminate the agreement after due notice if progress is impeded for an extended period (typically more than 30 calendar days).
Clients shall remain liable for all completed work and reimbursable expenses incurred up to the date of any suspension or termination.
This clause is intended to ensure realistic expectations, protect resources, and promote mutual accountability throughout the project timeline.
Liability
Hothico Architects is committed to delivering professional architectural and design services with due care, expertise, and industry best practices. However, the extent of liability is subject to the terms outlined below, in order to protect the interests of both parties and ensure clarity regarding responsibilities and risk management.
Limitation of Liability
Hothico Architects shall not be held liable for any indirect, incidental, consequential, or punitive damages arising from or related to the services provided. This includes, but is not limited to, loss of profits, delays, loss of business opportunities, cost overruns, or any financial or reputational losses incurred by the client or third parties.
The total liability of Hothico Architects, whether in contract, tort (including negligence), or otherwise, shall in no event exceed the total fees actually paid by the client for the specific project or service giving rise to the claim. This limitation of liability applies to all claims, whether arising from breach of contract, professional negligence, or any other legal theory.
Design and Technical Accuracy
While every effort is made to ensure accuracy in designs, drawings, plans, and documentation, Hothico Architects is not liable for:
Minor errors, discrepancies, or omissions that do not materially affect the overall integrity or functionality of the design.
Misinterpretation or misuse of provided plans or documents by contractors, consultants, vendors, or other third parties.
Any changes or modifications made to the design by the client or third parties without the written approval of Hothico Architects.
Third-Party Services and Delays
Hothico Architects may recommend or coordinate with third-party consultants, contractors, engineers, or vendors. However, we are not liable for the performance, delays, or defects in services or products provided by such third parties. The client is encouraged to enter into direct agreements with such parties and review their individual liability and warranty terms.
Site Conditions and Client-Supplied Information
Hothico Architects is not responsible for damages, delays, or design limitations resulting from inaccurate or incomplete site data, legal documents, surveys, soil reports, or other information supplied by the client or sourced from third parties at the client’s request.
Construction and Execution Risks
While we may offer site coordination, supervision, or project management services, the client acknowledges that construction activities inherently involve risks. Hothico Architects is not liable for construction errors, contractor misconduct, substandard workmanship, site accidents, safety violations, or other operational issues that occur on the site. These remain the responsibility of the appointed contractor or construction team.
Force Majeure
Hothico Architects shall not be held liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, labor strikes, governmental regulations, civil unrest, or other force majeure events.
Client Indemnification
The client agrees to indemnify, defend, and hold harmless Hothico Architects, its team members, consultants, and affiliates from any claims, damages, losses, or expenses arising out of:
Misuse or unauthorized alteration of deliverables.
Breach of contract or misrepresentation by the client.
Use of project materials outside the agreed scope.
Any legal claims arising from third-party contractors engaged independently by the client.
Professional Standards
Hothico Architects will perform services in accordance with generally accepted architectural standards. However, no warranty or guarantee, express or implied, is given as to the absolute outcome of the design or its future performance in changing environmental, regulatory, or usage conditions.
This Liability section shall survive the expiration or termination of this agreement and shall remain enforceable to the fullest extent permitted under applicable laws.
Termination
This agreement may be terminated by either party under the conditions specified below. Termination will be effective upon written notice from the terminating party to the other party. Both parties acknowledge that termination may be initiated for various reasons, and it will follow the procedure outlined in this section to ensure clarity and fairness.
Termination by the Client
The client may terminate the agreement at any time, provided they give written notice to Hothico Architects. Upon such termination, the client will remain responsible for payment of all services rendered and work completed up to the termination date. This includes any costs incurred for design work, materials, and third-party fees related to the project.
In the event of early termination, the client will not be entitled to a refund of any advance payments or fees already paid, except in cases where work has not commenced, or significant progress has not been made.
The client may terminate the agreement without cause, but any changes in scope, delays, or changes in project direction must be communicated in writing and may result in additional charges based on the nature of the changes.
Termination by Hothico Architects
Hothico Architects reserves the right to terminate the agreement if the client fails to fulfill their obligations as outlined in the Terms of Service, including but not limited to:
Non-payment of invoices or failure to comply with the agreed payment schedule.
Failure to provide necessary information, approvals, or feedback within the agreed time frames, resulting in delays that impact the project timeline.
Breach of confidentiality, intellectual property, or other critical clauses in the agreement.
Any actions or behaviors by the client that are deemed detrimental to the smooth execution of the project or professional relationships, including unethical conduct, legal violations, or non-cooperation.
In such cases, written notice will be provided to the client, outlining the reasons for termination. The client will be responsible for payment for all work completed up to the date of termination, including any costs incurred for third-party services or materials already purchased.
Termination for Cause
Either party may terminate the agreement with immediate effect if the other party materially breaches any of the terms outlined in the agreement, and the breach is not remedied within a reasonable period (usually 10 business days) after written notice.
Examples of material breaches include:
Failure to adhere to deadlines that affect the overall project timeline.
Failure to make payments on time or breach of agreed financial terms.
Disclosures or misuse of confidential information.
Unauthorized use of intellectual property.
Consequences of Termination
Upon termination of the agreement, the following will apply:
Final Payment: The client agrees to pay any outstanding amounts for services rendered and work completed up until the date of termination, including third-party costs and any unbilled work.
Intellectual Property: All intellectual property developed by Hothico Architects up to the point of termination, including but not limited to designs, drawings, and plans, will remain the property of Hothico Architects. The client may retain only the right to use those deliverables within the scope of the work already completed.
Return of Materials: Upon termination, both parties shall return or destroy any confidential information or materials belonging to the other party.
Ongoing Obligations: Any confidentiality, intellectual property, and indemnification obligations that exist within the agreement will survive termination and continue to be enforceable.
Force Majeure
Neither party will be held liable for failure or delay in fulfilling their obligations under this agreement if such failure is caused by circumstances beyond their reasonable control, including but not limited to acts of nature, government regulations, labor strikes, or any other unforeseeable events. In such cases, either party may terminate the agreement without penalty, provided that written notice is given.
Dispute Resolution
In case of a disagreement regarding the termination or any related issues, both parties agree to attempt to resolve the dispute through negotiation or, if necessary, mediation as specified in the Governing Law section. If a resolution cannot be reached, the dispute will be resolved through formal legal proceedings under the jurisdiction outlined in the Governing Law clause.
Amendments
Hothico Architects reserves the right to amend, modify, or update the terms and conditions outlined in this agreement as necessary. Any changes to this Terms of Service will be communicated in writing to the client, either through email or official project correspondence, and will be effective only after both parties have agreed to the updated terms.
Amendments to the terms of this agreement may arise due to various factors, including but not limited to:
Changes in laws or regulations that may impact the architectural services or the execution of the project.
Modifications in the scope of work, project deliverables, or client requirements during the course of the project.
Adjustments in fees or payment terms based on additional work requested by the client, changes in market conditions, or other factors affecting the costs associated with the project.
Updates to project timelines due to unforeseen circumstances, such as delays in permits, approvals, site conditions, or client-required changes.
Any amendments will be documented in writing and must be signed by authorized representatives from both Hothico Architects and the client. The written amendment will become an integral part of the original agreement and will supersede any conflicting terms in the original contract.
If the client does not accept the proposed amendments, they have the right to withdraw from the agreement in accordance with the termination clauses provided within the contract. However, any work completed up to the point of withdrawal will be subject to payment based on the agreed terms and completed deliverables.
In the case of a dispute regarding an amendment or any part of the agreement, both parties agree to attempt to resolve the issue through negotiation or, if necessary, mediation as outlined in the Governing Law section of this document.
It is the responsibility of both parties to stay informed of any changes to the agreement. Clients are encouraged to periodically review the terms and conditions, especially in the case of long-term or ongoing projects.
Governing Law
All terms, conditions, obligations, and rights outlined in this Terms of Service agreement shall be governed by and construed in accordance with the laws of the Republic of India. This includes, but is not limited to, the Indian Contract Act, 1872; the Copyright Act, 1957; the Architects Act, 1972; and any other applicable local, state, or national regulations relevant to architectural practice, design, construction, and professional services.
In the event of any dispute, disagreement, or claim arising out of or relating to this agreement, the project, or the services rendered by Hothico Architects, both parties agree to seek an amicable resolution through discussion and mutual negotiation. If a resolution cannot be reached informally, the matter may be referred to mediation or arbitration as per the Arbitration and Conciliation Act, 1996, before proceeding with any formal legal action.
All legal proceedings, if necessary, shall be subject to the exclusive jurisdiction of the courts located in [City, State], where Hothico Architects maintains its principal place of business, unless otherwise mutually agreed upon in writing.
Both parties acknowledge that they are entering into this agreement voluntarily and with full understanding of the legal implications. This Governing Law clause ensures that any contractual interpretation, enforcement of rights, and resolution of disputes will be conducted under a recognized legal framework, ensuring fairness, clarity, and accountability.
This section shall remain in effect even after the completion or termination of the project and shall apply to all services provided under the agreement.
